Our patients' care with Allina Health remains the same. Patients can continue to rely on the same Allina Health doctors and care team you know and trust, at the same care sites you visit today. There are no changes to your appointments, access to your Allina Health account, and how you communicate with your care teams.

In Minnesota and across the country, healthcare systems are facing significant challenges, including barriers to access and affordability, workforce shortages, reimbursement pressures and rising care delivery costs. At the same time, healthcare is experiencing rapid advances in clinical innovation, technology and new treatments that require significant investment and new capabilities.

Given Allina Health's vitally important role in our community, joining Sutter Health is a proactive solution that will help ensure we can continue to thrive and grow to meet the changing needs of the communities we serve.

This partnership will strengthen Allina Health's ability to invest in care, innovation and our workforce while helping us advance our vision of becoming our community's most trusted health ally. Joining Sutter Health would create opportunities to transform how we deliver care through our combined expertise. Together, with more than a $2 billion investment in Minnesota and western Wisconsin, we would:

• Improve access to care by establishing new outpatient care sites, expanding our specialty institutes and recruiting more physicians and clinicians.
• Introduce new digital tools and technologies to make it easier for you to get appointments and access the care you need more conveniently.
• Reimagine how patients get and stay well, combining technology and proactive, patient-centered care to detect, treat and prevent diseases and conditions earlier.

On May 21, we announced the signing of a definitive agreement, an important milestone that means we have confirmed the terms for our plans to join Sutter Health once regulatory review is complete and the transaction closes. Now, we are moving forward with the required state and federal regulatory review processes. We expect to close the proposed transaction by the end of 2026, pending regulatory review. Until then, we continue to operate independently as separate organizations.

We know how important compensation, benefits and workplace protections are to our care team members. Offering competitive pay and benefits will continue to be a priority for the combined organization.

We are in the early stages of planning for integration with Sutter Health. As part of this process, roles, compensation and benefits will be carefully reviewed as plans are developed.

For employees represented by a union, all existing collective bargaining agreements, inclusive of pensions, will be honored and the terms and conditions of those agreements will remain in full effect. Contracts currently open for negotiation will continue to be negotiated in good faith, as they are today.

Allina Health will continue to be focused on serving local communities in Minnesota and western Wisconsin as part of Sutter Health. We maintain our name, brand and regional headquarters in Minneapolis.
